Terms of Service

1. Introduction

These Terms of Service ("Terms") set out the basis on which AbleEdge Engineering Ltd ("AbleEdge", "we", "us") provides software resale, engineering support, and digital transformation services to business customers ("Customer", "you").

By purchasing, installing, or using any AbleEdge-supplied software or services, you agree to be bound by these Terms.

2. Scope of Services

AbleEdge provides:

• Software Resale & Distribution of third-party CNC software solutions, including AMFG and MANUS.
• Professional Services, including application engineering, digital transformation, and technical support.
• Consultancy & Integration Services, including process optimisation, quoting workflow design, and digitisation strategy.

3. Third-Party Software

3.1 AMFG

Use of AMFG software is governed by AMFG's Master Services Agreement, available at: https://amfg.ai/master-services-agreement/

AbleEdge is not the licensor of AMFG software and provides no warranties beyond those set out in AMFG's own terms.

3.2 MANUS

Use of MANUS software is governed by the end-user licence agreement and/or terms of use issued by MANUS Software, available at https://manusnc.com or as otherwise provided directly by MANUS.

AbleEdge is not the licensor of MANUS software and provides no warranties beyond those set out in MANUS's terms.

4. Customer Responsibilities

You agree to:

• Provide accurate data, CAD/CAM/NC files, and other information needed for services.
• Retain responsibility for the safe and lawful operation of CNC machines.
• Ensure compliance with health & safety standards in your facilities.
• Use software only in accordance with the applicable vendor's licence terms.

5. Fees & Payment

• Fees and payment terms shall be as set out in AbleEdge's quotation, order confirmation, or invoice for the relevant supply.
• All fees are exclusive of VAT unless otherwise stated.
• Where no specific payment terms are stated, payment is due within 30 days of the invoice date.
• Interest on late payments accrues at 4% above the Bank of England base rate.
• AbleEdge may suspend services or support for overdue accounts.

6. Intellectual Property

• Customer Data: You retain ownership of all CAD/CAM/NC files, machining data, and related information provided to us.
• Third-Party Software: All intellectual property in AMFG and MANUS software remains with their respective licensors.
• AbleEdge Deliverables: Any reports, workflows, or documents we create remain AbleEdge IP until payment in full, after which you receive a non-exclusive licence for internal use.

7. Confidentiality & Data Protection

• Each party will treat as confidential any technical, commercial, or business information disclosed by the other.
• AbleEdge will only use Customer Data for providing services and will not disclose it to third parties except as required for delivery (e.g., vendor support).
• Personal data will be processed in accordance with UK GDPR and the Data Protection Act 2018. For details, see our Privacy Notice.

8. Warranties & Disclaimers

• AbleEdge provides services using reasonable skill and care.
• We do not warrant that services or software will be error-free or achieve specific business outcomes.
• All other warranties, whether implied by law or otherwise, are excluded to the maximum extent permitted by law.

9. Limitation of Liability

• AbleEdge's total liability, whether in contract, tort, or otherwise, is limited to the fees paid by you in the 12 months preceding the claim.
• We are not liable for indirect, incidental, or consequential losses, including loss of profit, downtime, or data.
• Nothing in these Terms excludes liability for death or personal injury caused by negligence, fraud, or any liability which cannot legally be excluded.

10. Termination

• Either party may terminate services for convenience with 30 days' written notice.
• Either party may terminate immediately if the other commits a material breach not remedied within 14 days.
• On termination, all fees accrued remain payable and licences revert to the vendor terms.

11. Governing Law & Dispute Resolution

• These Terms are governed by the laws of England and Wales.
• The courts of Manchester, England shall have exclusive jurisdiction, subject to any good-faith attempt at mediation before proceedings.

12. General

• These Terms form the entire agreement between you and AbleEdge, superseding all prior discussions.
• Neither party may assign its rights without the other's consent (save for group transfers or financing).
• We are not liable for failure to perform due to events beyond reasonable control (Force Majeure).
